Amanda Soled
Amanda Soled is an associate in Weil’s Capital Markets practice and is based in New York. Amanda participates in advising issuers, underwriters and private equity sponsors in connection with public and private offerings of securities and other capital markets transactions. She has been involved in investment grade and high yield debt offerings as well as secondary equity offerings.

Amanda has been part of the teams advising:

  • AltC Acquisition Corp., a SPAC sponsored by AltC Sponsor LLC (an affiliate of M. Klein and Company, LLC), in its $875 million de-SPAC merger with Oklo Inc.
  • Avolon Holdings Limited in multiple senior notes offerings by Avolon Holdings Funding Limited, a direct wholly owned subsidiary of Avolon, with an aggregate deal value of more than $2 billion
  • A financial institution, as a joint-lead dealer manager, in a $2.8 billion tender offer for certain outstanding fixed rate senior notes of multiple series of Occidental Petroleum Corporation
  • A financial institution, as representative of the underwriters, in a $1.25 billion 144A/Reg S offering of senior unsecured notes by Royal Caribbean Cruises Ltd
  • First Watch Restaurants Group, Inc. (a publicly traded company majority owned by Advent International Corporation) in a $158 million block trade of 8,000,000 shares of common stock, in a $62.2 million block trade of 4.025 million shares of common stock, in a $80 million secondary sale of 5.1 million shares of common stock, in a $49.3 million block trade sale of 3 million shares of common stock, and in a $166 million block trade of 6.9 million shares of common stock
  • Global Aircraft Leasing Co., Ltd. (an affiliate of the HNA Group and the parent of Avolon Holdings Limited) in its $1.1 billion senior secured 144A / RegS notes offering
  • The Kroger Company in a $10.5 billion offering of senior notes to finance a portion of the merger between The Kroger Co. and Albertsons Companies Inc.
  • Morgan Stanley and a financial institution, as representative of the underwriters, in a $1.5 billion offering of senior notes
  • Multiple financial institutions, as lead dealer managers, in a $4.6 billion tender offer for certain outstanding fixed rate senior notes of multiple series of Occidental Petroleum Corporation
  • Talen Energy Corporation and Talen Energy Supply, LLC, in a $1.2 billion 8.625% senior secured notes due 2030 and $1.4 billion common stock rights offering to finance the restricting of their debts and emergence from Chapter 11 bankruptcy

Amanda joined Weil as a summer associate in 2020.

Amanda received her J.D., cum laude, from Duke University School of Law and her B.A., cum laude and with high honors, from Haverford College.
