Biography
Chelsea Carpenter is an associate in Weil’s Mergers & Acquisitions practice and is based in New York. Chelsea participates in the representation of public and private companies in mergers, acquisitions and divestitures.
Chelsea has been part of the teams advising:
- Clayton Dubilier & Rice in the merger of its portfolio company Cynosure with Lutronic Corporation
- EQT Partners Inc. in its take-private acquisition of BTRS Holdings Inc. (Billtrust), in a transaction that valued Billtrust at $1.7 billion
- Glencore, CPP Investments and BCI, as shareholders, in Viterra Ltd.’s approximately $18 billion business combination with Bunge Ltd.
- Howden Group Holdings Limited in its acquisition of TigerRisk Partners, LLC
- Iron Mountain Incorporated in its acquisition of Regency Technologies
- John Wiley & Sons, Inc. in its sale of Wiley Edge to Inspirit Capital
- The Kroger Company, along with The Albertsons Companies, Inc., in the approximately $1.9 billion sale of 413 stores, as well as select banners, distribution centers, offices and private label brands, to C&S Wholesale Grocers, LLC in connection with Kroger’s proposed merger with Albertsons Companies Inc.
- MGM Resorts International in its $450 million sale of the operations of Gold Strike Casino Resort
- Special Committee of the Board of Directors of Agiliti, Inc. in its merger with affiliates of Thomas H. Lee Partners, L.P in a transaction that implies an enterprise value of approximately $2.5 billion
- Trebia Acquisition Corp., a SPAC sponsored by affiliates of Trasimene Capital Management and Bridgeport Partners, in its $1.4 billion business combination with System1, LLC
Chelsea received her J.D., cum laude, from Fordham Law School and her B.A. from University of Michigan.
