Biography
Jay Perry is an associate in Weil’s Tax Department and is based in New York. Jay participates in the representation of Firm clients with respect to the tax aspects of a wide range of public company and private equity transactions.
Jay has been part of the teams advising:
- AMC Entertainment Holdings, Inc. in its $250 million at-the-market offering of its Class A common stock
- ATI Physical Therapy Inc. (a publicly traded company backed by Advent International) in its incremental second lien secured subordinated facility
- Blackbird Purchaser, Inc., a portfolio company of Genstar Capital, in a $1.01 billion unitranche credit facility
- Blackstone in its investment in Allied Benefit Systems, LLC
- Blue Star Innovation Partners, along with institutional co-investors, in its acquisition of eMinor Inc.
- Flexera Software LLC (a portfolio company of Thoma Bravo) in its incremental senior secured term loan facility to finance the acquisition of Snow Software and its $210 million incremental second lien senior secured term loan facility
- Goldman Sachs in its acquisitions of Madhive
- NCWS Intermediate, Inc. (d/b/a National Carwash Solutions) (a portfolio company of Berkshire Partners LLC) in its senior secured term loan and revolving facility
- Providence Equity Partners in the sale of its portfolio company Tait LLC
- TPG in connection with the merger of its portfolio company Keter Environmental Services with Waste Harmonics
Jay received his J.D. from the American University, Washington College of Law, his LL.M. from New York University School of Law and his B.A. from the University of Virginia.
