Nate Gross

Biography

Nate Gross is an Executive Compensation & Benefits associate in Weil’s Tax Department and is based in New York. Nate participates in the representation of Firm clients with respect to the executive compensation, employee benefits and ERISA issues in mergers, acquisitions, dispositions, initial public offerings and other strategic transactions.

Nate has been part of the teams advising on the following matters:

  • Advent International in its approximately $1.5 billion acquisition of Encora Digital Inc. and in its acquisition of a stake in Imperial Dade (a portfolio company of Bain Capital and Audax)
  • Aman Group S.a.r.l. in its sale of a $900 million minority stake to Cain International and The Public Investment Fund, in a transaction that valued Aman at $3 billion
  • Blackstone in its $130 million acquisition of a minority stake in PayCargo, LLC (a portfolio company of Insight Partners)
  • Blue Star Innovation Partners, along with institutional co-investors, in its acquisition of eMinor Inc.
  • Brookfield Asset Management in its sale of Westinghouse Electric Company to a consortium led by Cameco Corporation and Brookfield Renewable Partners, in a transaction that implied a Westinghouse enterprise value of $8 billion
  • Covetrus, Inc. in its $4 billion sale to CD&R, a holder of approximately 24% of Covetrus' outstanding common stock, and TPG
  • CVC Capital Partners in its acquisition of Radwell International and Radwell International in its acquisition of Electrical Source Holdings (a portfolio company of Greenbriar Equity, Emerald Lake Capital and Golub Capital)
  • CVC Growth Funds and Velocity EHS in the acquisition by Partners Group of a significant minority investment in VelocityEHS from CVC Growth Funds
  • Elysium Management LLC in its acquisition of a majority stake in BMH Holdings, Inc., and in a secondary transaction from affiliates of Capital Alignment Partners
  • Genstar Capital in its acquisition of The SEER Group LLC
  • Goldman Sachs in the $1.04 billion equity investment and subordinated debt financing in World Insurance Associates LLC in a transaction that implies a World Insurance enterprise value of approximately $3.4 billion and in its acquisition of NextCapital Group, Inc.
  • The Home Depot in its pending $18.25 billion acquisition of SRS Distribution Inc.
  • MGM Resorts International in its $450 million sale of the operations of Gold Strike Casino Resort in Tunica, Mississippi to CNE (a subsidiary of Cherokee Nation Businesses)
  • PSG in numerous acquisitions and investments, including of ClassTag Inc; and Backlight Solutions Holdings LP in its acquisition of Wildmoka SAS

Nate received his J.D. from the Georgetown University Law Center and his B.A. from Fairleigh Dickinson University.
