Weil attorneys are experienced at identifying, quantifying and contractually allocating environmental liabilities that may arise in the context of domestic and cross-border transactions, including equity investments, mergers and acquisitions, joint ventures, corporate restructurings, infrastructure projects and financing transactions. We represent buyers, sellers, lenders, investment banks and investors, including private equity firms and financial institutions as well as other businesses in all phases of corporate and real estate transactions. Weil offers a full range of transactional services, including conducting and coordinating due diligence investigations of potential environmental liabilities; quantifying those liabilities in the context of the clients’ overall business strategy; advising on and negotiating contract provisions, disclosures and environmental insurance policies; and transitioning environmental functions at target entities into acquiror business structures. We also are adept at facilitating financing in debt and equity markets, and frequently assist clients in preparing environmental disclosures required under various securities laws and capital market requirements. In addition, Weil attorneys are skilled at identifying emerging business opportunities and risks associated with changing environmental policy, including those relating to unconventional oil and gas production, renewable energy development and greenhouse gas regulation.
