Biography

Ari Anderson

Ari Anderson is an associate in Weil's Capital Markets practice and is based in New York. Ari participates in advising issuers, underwriters and private equity sponsors in connection with public and private offerings of securities and other capital markets transactions, including liability management transactions. He has been involved in investment grade and high-yield debt offerings as well as primary and secondary equity offerings.

Ari has been part of the teams advising:

  • A financial institution, as representative of the initial purchasers, in an upsized $750 million senior secured, guaranteed, high-yield bond offering by Clarios Global LP and Clarios US Finance Company, Inc. 
  • AMC Entertainment Holdings, Inc. in its $250 million at-the-market offering of its Class A common stock;
  • AMC Entertainment Holdings, Inc. in its $350 million at-the-market offering of its Class A common stock;
  • AMC Entertainment Holdings, Inc. in its $414 million offering of cash and payment-in-kind toggle senior secured exchangeable notes due 2030 by a subsidiary of AMC and its $1.2 billion senior secured term loan facility;
  • First Light Acquisition Group Inc. in its merger with Calidi Biotherapeutics, Inc.
  • Goldman Sachs, as representative of the initial purchasers, in a $555 million senior secured notes offering by Dye & Durham Corporation
  • Goldman Sachs, as administrative agent, collateral agent, L/C issuer, joint lead arranger and joint bookrunner, in a $350 million term loan facility and $77 million revolving credit facility for Dye & Durham Corporation
  • Marvell Technology, Inc. in its $1 billion offering of senior unsecured notes 
  • Morgan Stanley, as representative of the underwriters, in a $700 million 144A/Reg S offering of senior guaranteed notes by Royal Caribbean Cruises Ltd.
  • Truist, Wells Fargo, and a leading financial institution, as representatives of the underwriters, in $500 million offering of senior notes by McCormick & Company, Inc.

Ari received his J.D. from the University of Virginia School of Law, where he served as Senior Editor of the Virginia Journal of Law and Technology, and his B.A., summa cum laude, from the University of Georgia.
