Weil Advises AMC in Major Liability Management Refinancing Transactions to Extend Up To $2.45 Billion of Debt Maturities

Weil advised AMC Entertainment Holdings, Inc. in a series of liability management refinancing transactions, extending the maturity of approximately $1.6 billion in debt from 2026 to 2029 and 2030. This strategic transaction provides AMC with significant incremental financial runway.

The transactions include the issuance of $1.2 billion of new secured term loans due 2029 and $414 million of new exchangeable notes due 2030, which were used to retire $1.6 billion of debt due 2026. The transactions also provide for potential repurchases of up to $800 million of additional existing term loans due 2026 in exchange for new term loans due in 2029 and the potential issuance by AMC of up to an additional $50 million of exchangeable notes in order to repurchase additional debt due in 2025, 2026 and 2027.
