Natalia Pierotti

Natalia Pierotti is an associate in Weil’s Tax Department and is based in New York. Natalia participates in the representation of Firm clients with respect to the tax aspects of a wide range of corporate transactions.

Natalia has been part of the teams advising:

  • A major financial institution, as underwriter, in a $110.4 million secondary offering of 4,000,000 shares of common stock of The Vita Coco Company, Inc. by Verlinvest Beverages SA
  • Advent International Corporation in its acquisition of a substantial minority stake in Iodine Software, LLC, in a transaction that valued Iodine at more than $1 billion
  • American Securities in its acquisitions of The Fulham Group LLC and RealManage, LLC; and its approximately $1.9 billion sale of Paragon Medical to AMETEK, Inc.
  • Berkshire Partners in (i) its sale of a minority stake in Parts Town LLC, with Berkshire retaining a majority stake and, (ii) as majority stakeholder in Parts Town LLC, in a follow-on investment in Parts Town
  • Blue Owl Strategic Equity in a syndicate of investors in a continuation fund led by Kelso & Company Capital
  • Corporate subsidiary of publicly-held master limited partnership in its acquisition of $50 million investment tax credits generated by battery energy storage system in Texas
  • CPM Holdings, Inc. in a $400 million equity investment from Koch Equity Development LLC
  • Goldman Sachs in its $440 million strategic investment in BrightNight
  • Montagu Private Equity LLP and ISI Markets in its acquisition of EPFR, Inc. (d/b/a Emerging Portfolio Fund Research)
  • Nexa Equity in its investment in, and secondary purchase of shares of, HomeTown Ticketing, Inc.
  • Providence Equity Partners and its portfolio company TCP Software in its acquisition of Aladtec, Inc.
  • Seven2 and its portfolio company Vitaprotech Group SAS in its pending acquisition of the physical security, access card, and identity reader operations and assets of Identiv, Inc.
  • Thea Pharma Inc. (a subsidiary of Laboratoires Théa SAS) in its acquisition of a portfolio of seven ophthalmic products from Akorn Pharmaceuticals
  • Truist, Wells Fargo, and a major financial institution, as representatives of the underwriters, in $500 million offering of senior notes by McCormick & Company, Inc.
  • Corporate subsidiary of publicly-traded asset manager in its acquisition of $110 million of investment tax credits generated by two portfolios of distributed generation solar assets.

Prior to joining Weil, Natalia was a Tax associate at another international law firm.

Natalia received her LL.M. from New York University School of Law, her J.D., cum laude, from Fordham University School of Law and her B.B.A. from Baruch College.
