Biography
Kelly McCubrey is an associate in Weil’s Antitrust group. Her practice focuses on transactional regulatory approval for mergers and acquisitions, government investigations, and antitrust counseling. Prior to joining Weil, Kelly worked at an economic consulting firm in Washington, DC focusing on the regulatory merger review process and civil antitrust litigation. She also maintains an active pro bono practice, including working on intake matters with the Innocence Project.
Kelly received her J.D., cum laude, from Georgetown University Law Center, where she served as a Law Fellow in the Legal Research and Writing Department and on the editorial board of the American Criminal Law Review. She received her B.A., summa cum laude, in Political Science and Economics from Furman University.
Kelly’s recent experience includes serving on Weil teams representing:
- The Home Depot, Inc. in its $18.25 billion acquisition of SRS Distribution Inc., a leading residential specialty trade distribution company across several verticals serving the professional roofer, landscaper and pool contractor.
- KIK Custom Products Inc. in the sale of its Auto Business Unit (“Prestone”) to Recochem Inc., a global manufacturer of automotive transportation fluids and certain household chemical products that is backed by private investment firm, CapVest.
- Sunoco LP in its $7.3 billion acquisition of NuStar Energy L.P., an independent liquids terminal and pipeline operator.
- Bausch + Lomb in its up to $2.5 billion acquisition of Xiidra, a non-steroid eye drop specifically approved to treat the signs and symptoms of dry eye disease, and three other front of eye assets from Novartis.
- Walgreens Boots Alliance, Inc. in its acquisition of 120 retail pharmacies from Brookshire Grocery Company.
- Sanofi in its ~$3.2 billion acquisition of Provention Bio, Inc., the maker of TZIELD, the first disease-modifying treatment for the delay of Stage 3 type 1 diabetes.
