Weil Advises Astorg in $282M Take-Private Acquisition of Hamilton Thorne and Concurrent Acquisition of Cook Medical Reproductive Health

Weil advised Astorg, a leading private equity firm with an extensive track record in global healthcare investments, in its approximately $282 million take-private acquisition of Hamilton Thorne, and simultaneous acquisition of Cook Medical’s Reproductive Health business. Astorg is now combining the two businesses to create a new global ART MedTech company. A new brand identity for the combined business will be rolled out in 2025.Financial terms for the Cook Medical Reproductive Health transaction were not disclosed.

Hamilton Thorne is a leading global provider of precision instruments, consumables, software and services that reduce cost, increase productivity, improve results and enable breakthroughs in Assisted Reproductive Technologies (ART), research, and the cell biology space.
